Terms of Service

These Terms of Service ("Terms") govern your use of the websites, client portal, support applications, and managed IT services provided by IT Envy Technology Solutions LLC ("IT Envy," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Services

IT Envy provides managed IT services, cybersecurity solutions, infrastructure design, and related technology services to small and medium businesses. Our services include but are not limited to:

  • Managed IT support and help desk services
  • Microsoft 365 administration and security management
  • Cybersecurity monitoring, endpoint detection, and response
  • Network design, deployment, and maintenance
  • Client portal access for project tracking, proposals, and budget management
  • Remote monitoring and management (RMM) of enrolled devices
  • IT support application for end-user issue reporting

Specific service scope, pricing, and terms are defined in individual service agreements between IT Envy and each client.

2. Account Access

Client Portal

Access to the client portal at portal.itenvy.com is provided to authorized contacts of our managed service clients. Portal access is authenticated via email-based magic links and is subject to role-based permissions (viewer, collaborator, or manager). You are responsible for maintaining the security of your email account used for portal authentication.

Admin Dashboard

The admin dashboard at os.itenvy.com is restricted to authorized IT Envy personnel. Unauthorized access or access attempts are prohibited and may be subject to legal action.

Support Application

Our desktop support application is provided to enrolled devices of managed service clients. The application collects diagnostic data necessary for IT support services as described in our Privacy Policy.

3. Acceptable Use

When using our services, you agree not to:

  • Access or attempt to access systems or data you are not authorized to use
  • Interfere with or disrupt the operation of our services or infrastructure
  • Use our services for any unlawful purpose or in violation of applicable laws
  • Transmit malware, viruses, or other harmful code through our systems
  • Attempt to reverse-engineer, decompile, or extract source code from our applications
  • Share portal or administrative credentials with unauthorized parties
  • Use automated tools to scrape, crawl, or access our services beyond normal usage

4. Intellectual Property

All content, software, designs, logos, and materials on our websites and applications are the property of IT Envy Technology Solutions LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our materials without prior written consent, except as necessary for normal use of our services.

5. Service Level and Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted access. Services may be temporarily unavailable due to:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency security updates or patches
  • Third-party service provider outages (Microsoft, hosting providers, etc.)
  • Force majeure events beyond our reasonable control

Specific service level agreements (SLAs), including response times and uptime guarantees, are defined in individual client service agreements.

6. Data and Security

As a managed IT services provider, we take data security seriously. Our practices include:

  • Encrypted communications and data storage
  • Role-based access controls and multi-factor authentication
  • Regular security monitoring and incident response
  • Compliance with industry best practices for data handling

Our data collection and processing practices are described in our Privacy Policy, which is incorporated into these Terms by reference.

7. Microsoft 365 Management

For clients who authorize us to manage their Microsoft 365 environment, you acknowledge that:

  • We access your M365 tenant data through authorized delegated administration and API integrations
  • We may modify security policies, conditional access rules, and user configurations as part of our management services
  • We sync and monitor data including secure scores, MFA status, license usage, security incidents, and compliance metrics
  • Changes to your M365 environment are logged for audit purposes
  • You retain ownership of all data within your M365 tenant

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IT ENVY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION.

Our total liability for any claim arising from these Terms or your use of our services shall not exceed the total fees paid by you to IT Envy during the twelve (12) months preceding the claim.

This limitation does not apply to liability arising from gross negligence, willful misconduct, or breach of confidentiality obligations.

9. Indemnification

You agree to indemnify and hold harmless IT Envy, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your violation of these Terms or misuse of our services.

10. Termination

We may suspend or terminate your access to our services if you violate these Terms or if required by law. Upon termination of a service agreement:

  • Portal access will be revoked within a reasonable timeframe
  • Your data will be handled according to the termination provisions of your service agreement
  • We will provide reasonable assistance in transitioning services to another provider

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Washoe County, Nevada.

12. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated through our website or direct notification to affected clients. Continued use of our services after changes constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
